Welcome to Text2SQL.ai, a Software as a Service (SaaS) platform that provides natural language-to-SQL conversion tools powered by artificial intelligence. By accessing and using Text2SQL.ai (the "Service"), you agree to comply with these Terms and Conditions. If you do not agree, please discontinue using the Service immediately.
1. Definitions
"Company" refers to Text2SQL.ai.
"Customer" refers to any individual or entity who accesses or uses the Service.
"Service" refers to the software platform, features, tools, and associated services provided by Text2SQL.ai.
"Subscription" refers to the plan the Customer purchases to access the Service.
2. Acceptance of Terms

3. License and Access to the Service

All payments are non-refundable unless required by law.
7. Use of the Service

You are granted a limited license to use the Service for lawful purposes in compliance with these Terms. You agree not to use the Service for illegal activities, transmitting malware, or engaging in data scraping.
7.2 Prohibited Activities
You agree not to:
- Generate queries for illegal databases or unauthorized data.
- Resell or integrate the Service into competing platforms without written consent.
7.3 Data Accuracy
You are responsible for the accuracy of the data you input. Text2SQL.ai disclaims responsibility for the accuracy or consequences of the SQL queries generated.
8. Intellectual Property
8.1 Ownership
All content, software, and other intellectual property associated with the Service are the exclusive property of Text2SQL.ai or its licensors.
8.2 User-Generated Content
Any data or content generated through the Service remains your property, though you grant Text2SQL.ai a non-exclusive, royalty-free license to use such content to provide, improve, and maintain the Service.
9. Data Privacy and Protection

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TEXT2SQL.AI DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
To the maximum extent permitted by law, Text2SQL.ai is not liable for any indirect, incidental, or consequential damages, including loss of data or business profits. If Text2SQL.ai is found liable, its liability is limited to the amount you have paid for the Service in the preceding 12 months.
13. Indemnification
You agree to indemnify and hold Text2SQL.ai harmless from any claims, damages, or losses arising out of your use of the Service or violation of these Terms.
14. Governing Law and Dispute Resolution
14.1 Governing Law: These Terms are governed by the laws of Quebec, Canada, without regard to conflict of law principles.
14.2 No Class Actions: You agree to resolve disputes on an individual basis and not as part of a class action.
15. Termination of Service
15.1 Termination by Text2SQL.ai: We may suspend or terminate your access for violations of these Terms.
15.2 Termination by You: You may cancel your Subscription at any time. All fees incurred up to the termination date are your responsibility.
16. Force Majeure
Text2SQL.ai is not liable for delays or failure to perform due to events beyond its control, such as natural disasters or technical failures.
17. Miscellaneous
17.1 Severability: If any part of these Terms is found invalid, the remaining provisions will remain in effect.
17.2 Assignment: You may not assign these Terms without our consent. Text2SQL.ai may assign these Terms without restriction.
17.3 Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Text2SQL.ai.
